1. Overview
This Warranty page summarizes how warranties are handled by GMS Fabrication LLC (“GMS Race Cars,” “GMS,” “we,” “our,” or “us”) for race cars, chassis, components, and related parts (collectively, “Racing Assets”) purchased from us.
All Racing Assets are sold subject to the Standard Terms and Conditions of Service, Waiver and Release, and Express Assumption of Risk Agreement applicable to race cars purchased or leased from GMS Fabrication LLC. If there is any conflict between this summary and that agreement, the agreement controls.
2. Scope of Warranty
GMS provides a limited warranty of title only on Racing Assets.
GMS does not provide any warranty, express or implied, on the physical condition, performance, or fitness of Racing Assets.
Because motorsports is an ultra hazardous activity and Racing Assets are used in competitive environments and subject to extreme loads, impacts, and user adjustments, all Racing Assets are sold on an “as is” and “where is” basis, as described below.
3. Warranty of Title
In line with Section 1 of the Standard Terms and Conditions, GMS covenants and agrees that:
GMS will warrant and defend title to the Racing Assets sold to the Purchaser against all persons and entities claiming through GMS.
GMS warrants that:
The title conveyed is good
The transfer of title is rightful
The Racing Assets are, have been, or shall be delivered free from any security interest, lien, or encumbrance created by GMS
This is the extent of GMS’s warranty.
4. “As Is” and “Where Is” Sale of Racing Assets
In line with Section 4 of the Standard Terms and Conditions:
Racing Assets are constructed to the best of the ability of GMS, using current manufacturing and assembly efforts, with the intention that they be compliant for use in the racing series for which they are intended.
However, all Racing Assets are sold “AS IS” and “WHERE IS” without any representations or warranties, express or implied, as to:
The physical condition of the Racing Assets
The fitness of any item of the Racing Assets for any particular use or purpose
The merchantability of any item of the Racing Assets
By purchasing and accepting Racing Assets from GMS, Purchaser acknowledges and agrees that:
Purchaser and or its agent has had the opportunity to inspect the Racing Assets and accepts them “as is” and “where is.”
The Racing Assets are for use only in competitive motorsports and are not for street or highway use.
5. No Implied Warranties
GMS disclaims, to the fullest extent permitted by law:
Any implied warranties of merchantability
Any implied warranties of fitness for a particular purpose
Any other implied warranties arising under statute, common law, or otherwise
No GMS employee, agent, dealer, or representative is authorized to modify this warranty or create any additional warranty, oral or written.
6. Racing Use, Risk, and Responsibility
Motorsports involves inherent and significant risks of serious physical injury, death, and property damage. Racing Assets are high performance vehicles and parts that can be used at high speeds, under high loads, and in competitive environments.
Purchaser is solely responsible for:
Ensuring that Racing Assets are operated only by drivers with appropriate skill and training
Ensuring Racing Assets are used only in appropriate environments and conditions
Performing regular inspections, maintenance, repairs, and replacements of parts subject to wear, fatigue, damage, or collision
Any adjustments, modifications, disassembly, or reassembly of Racing Assets
The Waiver and Release and Express Assumption of Risk in the Standard Terms and Conditions govern these responsibilities in full.
7. Insurance
As stated in the Standard Terms and Conditions:
GMS does not provide, obtain, or maintain insurance coverage for Racing Assets or their operation, transport, storage, or maintenance.
Purchaser is solely responsible for obtaining and maintaining any insurance deemed necessary, including:
Property damage coverage
Liability coverage
Personal injury coverage
8. Relationship to Other Policies
This Warranty page should be read together with:
Standard Terms and Conditions of Service, Waiver and Release, and Express Assumption of Risk Agreement
Return Policy
Any written sales order, build sheet, or purchase agreement between Purchaser and GMS
If any conflict arises, the Standard Terms and Conditions of Service will control.
